1. Acceptance of Terms

1.1 These Terms and Conditions ("Terms") govern the use of the NAD Australia mobile application ("App") operated by NAD Australia Pty Ltd ("NAD Australia", "we", "us", or "our").

1.2 By downloading, accessing, or using the App, you agree to be bound by these Terms.

1.3 If you do not agree with these Terms, you must not access or use the App.

1.4 NAD Australia reserves the right to amend or update these Terms at any time without notice. Continued use of the App constitutes acceptance of any revised Terms.

2. Nature of the Platform

2.1 The App functions solely as a digital platform facilitating connections between users ("Users") and independent clinics, practitioners, or service providers ("Clinics") offering NAD-related services and wellness consultations.

2.2 NAD Australia does not:
a) manufacture, stock, or distribute any NAD+ or related products;
b) provide medical advice, treatment, or diagnosis; or
c) act as an agent, partner, or representative of any Clinic or practitioner.

2.3 All services, treatments, or products offered by Clinics are the sole responsibility of those independent third parties.

3. Medical and Therapeutic Disclaimer

3.1 Information available through the App is for informational and booking purposes only and is not medical advice.

3.2 Users should seek independent medical advice before undertaking any treatment or supplement protocol.

3.3 NAD Australia makes no warranties as to the safety, suitability, or efficacy of any NAD treatment or product referenced by third-party Clinics.

4. User Accounts and Conduct

4.1 To use certain features of the App, Users may be required to create an account. Users must provide accurate, complete, and up-to-date information.

4.2 Users are responsible for maintaining the confidentiality of their login credentials and for all activity under their account.

4.3 NAD Australia reserves the right to suspend or terminate accounts at its discretion if misuse, fraud, or breach of these Terms occurs.

4.4 Users must not use the App to engage in any unlawful, misleading, or harmful conduct.

5. Payments and Transactions

5.1 The App may facilitate payment processing on behalf of Clinics.

5.2 All payments made through the App are processed securely via third-party payment gateways. NAD Australia does not retain payment information.

5.3 NAD Australia acts solely as a payment facilitator and is not a party to any transaction between a User and a Clinic.

5.4 Refunds, cancellations, and disputes relating to services must be directed to the relevant Clinic.

6. Intellectual Property

6.1 All content, design elements, trademarks, logos, and intellectual property within the App remain the property of NAD Australia or its licensors.

6.2 Users are granted a limited, non-exclusive, revocable licence to access and use the App solely for its intended purpose.

6.3 Users must not copy, modify, distribute, or reverse-engineer any part of the App.

7. Third-Party Services and Links

7.1 The App may include links or interfaces with third-party services, websites, or software.

7.2 NAD Australia has no control over third-party content and assumes no liability for any loss or damage arising from use of such third-party platforms.

8. Indemnity

8.1 The User agrees to indemnify, defend, and hold harmless NAD Australia Pty Ltd, its directors, officers, employees, contractors, and affiliates from and against all claims, liabilities, losses, damages, costs, or expenses (including legal fees) arising from: a) any breach of these Terms; b) use or misuse of the App; c) any transaction, booking, or interaction between the User and any Clinic; or d) violation of any applicable law or third-party rights.

9. Limitation of Liability

9.1 To the fullest extent permitted by law, NAD Australia and its affiliates disclaim all liability for any direct, indirect, incidental, or consequential damages arising out of: a) the use or inability to use the App; b) any content, information, or service accessed through the App; or c) any act, omission, or conduct of a Clinic or third party.

9.2 NAD Australia's total aggregate liability, if any, shall not exceed the amount paid by the User (if any) for the specific transaction giving rise to the claim.

10. No Warranties

10.1 The App is provided "as is" and "as available." NAD Australia makes no warranties, express or implied, regarding: a) uninterrupted or error-free operation; b) accuracy or completeness of information; or c) the qualifications, practices, or outcomes of any Clinic.

11. Privacy and Data

11.1 NAD Australia's collection and handling of personal data are governed by its Privacy Policy, available on its website.

11.2 By using the App, Users consent to the collection, use, and disclosure of their personal information in accordance with that Privacy Policy.

12. Termination

12.1 NAD Australia may suspend or terminate access to the App at any time without notice.

12.2 Upon termination, all rights granted under these Terms shall immediately cease.

13. Governing Law and Jurisdiction

13.1 These Terms are governed by the laws of New South Wales, Australia.

13.2 The parties submit to the exclusive jurisdiction of the courts of New South Wales.
